goodAds.ai Terms of Service

These Terms of Service (the "Terms") form a binding agreement between Not George Technologies Inc., a Delaware corporation doing business as "goodAds.ai," with offices at 4792 SW Fairview Blvd, Portland, OR 97221 ("goodAds.ai," "we," "us," or "our"), and the individual or legal entity that accesses or uses the Service ("Customer," "you," or "your"). By creating an account, clicking "I agree," or otherwise accessing or using the Service, you agree to be bound by these Terms. If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, in which case "Customer" refers to that entity.
If you do not agree to these Terms, do not access or use the Service.
PLEASE READ SECTIONS 7 (AI SERVICES), 11 (WARRANTY DISCLAIMER), 12 (INDEMNIFICATION), AND 13 (LIMITATION OF LIABILITY) CAREFULLY. THESE SECTIONS LIMIT OUR LIABILITY AND PLACE IMPORTANT RESPONSIBILITIES ON YOU, INCLUDING YOUR OBLIGATION TO REVIEW ARTIFICIAL-INTELLIGENCE-GENERATED OUTPUT BEFORE PUBLICATION.
1. Acceptance and Scope
These Terms govern your access to and use of the goodAds.ai website, applications, application programming interfaces, dashboards, and related software and services (collectively, the "Service"). We may update these Terms from time to time. If a change is material, we will provide at least thirty (30) days' prior notice (by email or in-product) before the change takes effect. Your continued use of the Service after the effective date of an updated version constitutes your acceptance of the updated Terms.
These Terms incorporate by reference our Privacy Policy and any order form, statement of work, or written agreement signed between you and goodAds.ai (each, an "Order"). In the event of a conflict, a signed Order controls over these Terms, and these Terms control over any online documentation.
2. Definitions
- "Customer Inputs" means any material Customer uploads, submits, provides, or otherwise makes available to the Service, including product images, logos, brand assets, copy, scripts, prompts, reference materials, metadata, audience data, and account credentials.
- "Output" means creative content generated or produced by the Service in response to Customer Inputs, including advertising images, videos, copy, variants, and related assets.
- "AI Models" means the machine-learning models, algorithms, and pipelines (whether owned by goodAds.ai or licensed from third parties) used by the Service to produce Output.
- "Ad Platform" means any third-party advertising platform through which Customer publishes Output, including Meta, Google, TikTok, Pinterest, Snapchat, LinkedIn, Amazon Ads, and similar networks.
- "Documentation" means the user guides, policies, and help center materials made available by goodAds.ai describing the Service.
- "Service Plan" means a subscription plan under which goodAds.ai designs or creates ad creative on Customer's behalf (in contrast to self-serve plans, on which Customer uses the Service to generate creative themselves).
- "Affiliate" means any entity that directly or indirectly controls, is controlled by, or is under common control with a party.
3. Account and Access
3.1 Account Registration
To use the Service, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account, whether or not authorized by you. Notify us promptly at security@goodads.ai of any unauthorized access.
3.2 Eligibility
You must be at least 18 years old and legally capable of entering into a binding contract. You may not access or use the Service if you are a competitor of goodAds.ai and are doing so for purposes of benchmarking or building a competing product.
3.3 Users
Customer may permit its employees, contractors, and agents (each, a "User") to access the Service on Customer's behalf, provided that Customer remains responsible for each User's compliance with these Terms. Customer will not share login credentials among Users; each User must have their own credentials.
4. Service; Subscription Plans
4.1 Grant of Access
Subject to your compliance with these Terms and payment of applicable fees, goodAds.ai grants you a limited, non-exclusive, non-transferable, non-sublicensable right during the term of your subscription to access and use the Service for your internal business purposes.
4.2 Plans
The Service is offered on various plans, including self-serve plans and Service Plans. The specific features, usage limits, credits, seats, and support commitments associated with your plan are described at the point of sign-up, in your Order, or in the in-product plan details.
4.3 Restrictions
You will not, and will not permit any User or third party to:
- reverse engineer, decompile, disassemble, or attempt to derive the source code or underlying AI Models of the Service, except to the extent expressly permitted by applicable law;
- resell, sublicense, lease, rent, or otherwise make the Service available to any third party outside of your organization;
- circumvent usage limits, rate limits, access controls, or security features;
- use the Service to build, train, or improve a competing product or AI model;
- use the Service to generate content that is unlawful, defamatory, hateful, pornographic, or that infringes any third-party right;
- introduce malware, scrape data at scale, or interfere with the Service's operation; or
- remove or alter any proprietary notices on the Service or on Output where attribution is required under these Terms.
4.4 Modifications
goodAds.ai may modify, suspend, or discontinue features of the Service from time to time. We will not materially reduce the core functionality of a paid plan during a prepaid term without your consent or a pro-rata refund.
5. Fees, Payment, and Taxes
5.1 Fees
Customer will pay all fees specified at sign-up, in the Order, or on the applicable plan page. Unless otherwise stated, fees are quoted in U.S. Dollars and are non-refundable.
5.2 Billing
Subscription fees are billed in advance on a recurring basis. You authorize goodAds.ai to charge your designated payment method for all fees when due. If a charge fails, we may suspend the Service until payment is received.
5.3 Late Payment
Overdue amounts accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law, plus reasonable collection costs.
5.4 Taxes
Fees are exclusive of sales, use, VAT, GST, and similar taxes, which are Customer's responsibility except for taxes based on goodAds.ai's net income.
5.5 Price Changes
We may change our prices at renewal with at least thirty (30) days' prior notice; changes take effect on your next renewal.
5.6 Free and Trial Plans
Free and trial access is provided "as is" and may be modified or terminated at any time, with or without notice.
6. Customer Data and Inputs
6.1 Ownership of Customer Inputs
As between the parties, Customer owns all right, title, and interest in and to Customer Inputs, subject to the licenses granted below.
6.2 License to goodAds.ai
Customer grants goodAds.ai a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify, transmit, display, and otherwise process Customer Inputs as reasonably necessary to provide and improve the Service, including to generate Output, to perform analytics and quality assurance, and to train, fine-tune, evaluate, and improve the AI Models (subject to Section 7.10).
6.3 Input Warranties
Customer represents and warrants that:
- Customer has all rights, consents, and permissions necessary to provide Customer Inputs to the Service and to authorize the uses described in these Terms;
- Customer Inputs do not infringe, misappropriate, or violate any intellectual-property right, right of publicity, right of privacy, right against unfair competition, or other right of any third party; and
- Customer Inputs comply with applicable law and with the policies of any Ad Platform on which Output derived from them will be published.
6.4 Data Processing; Security
We will maintain commercially reasonable administrative, technical, and physical safeguards designed to protect Customer Inputs against accidental loss and unauthorized access. Where Customer Inputs include personal data subject to data-protection law, the parties will execute a mutually acceptable data processing addendum.
7. AI Services
This Section 7 governs the artificial-intelligence functions of the Service. It applies in addition to, and to the extent of any conflict, in priority over, other sections of these Terms that address generated content.
7.1 Ownership of Output
Subject to Customer's payment of applicable fees and compliance with these Terms, goodAds.ai assigns to Customer all of its right, title, and interest (if any) in and to Output generated specifically for Customer's account, for Customer to use in its advertising and marketing. This assignment is subject to:
- the license-back granted in Section 7.2,
- the marketing rights granted in Section 8, and
- the reservation that goodAds.ai retains all rights in the underlying Service, AI Models, software, algorithms, training data, and any templates, styles, or components not uniquely created for Customer.
7.2 License to Train and Improve AI Models
Customer grants goodAds.ai a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, sublicensable right to use, reproduce, modify, and analyze Customer Inputs and Output to operate, develop, improve, train, fine-tune, evaluate, and benchmark the Service and the AI Models, and to produce aggregated, de-identified statistics. goodAds.ai will not, outside of this Section 7.2 and Section 6.2, sell Customer Inputs or Output to third parties as a standalone dataset.
7.3 Customer Input Warranty
Customer represents and warrants that the prompts, scripts, reference images, brand assets, and other materials Customer submits to the Service do not contain any element likely to infringe the intellectual-property, publicity, privacy, or other rights of a third party, do not depict identifiable individuals without required consents, and do not include content that is illegal, defamatory, or prohibited by any Ad Platform.
7.4 AI Output Provided "AS IS"; No Warranties on Output
AI Output is generated probabilistically and may contain inaccuracies, errors, fabrications, unintended similarities to third-party content, or content that is unsuitable for a particular advertising context. goodAds.ai expressly disclaims any representation or warranty that Output will be:
- accurate, factual, or free from hallucinations;
- unique or non-duplicative;
- non-infringing;
- suitable for any particular purpose, audience, or jurisdiction;
- compliant with the policies of any Ad Platform; or
- free from bias.
Output is provided strictly on an "AS IS" and "AS AVAILABLE" basis.
7.5 Review-Before-Publish
Customer is solely responsible for reviewing, proofing, and approving Output before publishing, distributing, serving, or running it as an advertisement on any channel. Customer acknowledges that:
- AI-generated content requires human review;
- goodAds.ai does not, and is not obligated to, pre-screen Output for accuracy, legality, or Ad Platform compliance; and
- Customer assumes all risk of publication of Output without review.
7.6 No Guarantee of Ad Performance
goodAds.ai does not warrant, guarantee, or represent that any Output or any ad managed through the Service will convert, reach a specified audience, pass any Ad Platform's review, achieve a particular return on ad spend, cost per acquisition, click-through rate, or other performance metric. All performance estimates, projections, or suggestions are illustrative only.
7.7 Ad Platform Compliance
Customer is solely responsible for ensuring that its use of the Service and its publication of Output comply with the terms, advertising policies, and community standards of each Ad Platform. goodAds.ai is not responsible for, and will not indemnify Customer against, any Ad Platform suspension, disapproval, ban, chargeback, or penalty arising from Output that Customer has elected to publish.
7.8 AI Disclosure; Provenance
Customer will not misrepresent Output as human-created in any context where disclosure of AI generation is required by applicable law (including emerging U.S. state laws and the EU AI Act), by an Ad Platform, or by reasonable industry practice. Where the Service applies provenance markers, content credentials, or similar metadata to Output, Customer will not remove or obscure them if doing so would cause a violation of the foregoing.
7.9 Prohibited Uses of AI Features
Customer will not use the AI features of the Service to generate content that:
- depicts identifiable individuals without required consents, including synthetic voices, likenesses, or deepfakes;
- impersonates a real person or public figure;
- contains child sexual abuse material or sexualizes minors;
- facilitates discrimination prohibited by law;
- promotes violence, self-harm, or illegal activity; or
- violates the terms of any third-party AI model or data provider as communicated through the Service.
7.10 Enterprise Training Carveout
Where Customer has executed a written Order, data processing addendum, or enterprise plan that expressly limits goodAds.ai's use of Customer Inputs for AI Model training, goodAds.ai will honor those limits. Absent such a written commitment, the training license in Section 7.2 applies in full.
8. goodAds.ai Marketing Rights and Attribution
8.1 Customer Identification
Customer grants goodAds.ai the right to identify Customer as a customer of the Service and to use Customer's name and logo, in accordance with any publicly available brand guidelines, on goodAds.ai's website, sales and marketing materials, investor communications, and case studies. Customer may opt out prospectively by giving thirty (30) days' written notice to marketing@goodads.ai, except that the rights in Sections 8.2 through 8.5 will survive such opt-out as to Output already created or published.
8.2 Tier 1 - Publicly Live Advertising (All Customers)
Any Output that Customer causes to be published to the public on any Ad Platform, website, social channel, out-of-home placement, or other public medium constitutes public information. goodAds.ai may, without further permission and without restriction, display, reproduce, screenshot, repost, include in compilations or case studies, and otherwise use such publicly-run Output in goodAds.ai's own marketing, pitch materials, sales decks, demos, and website. This grant applies to all customers on all plans and is not opt-out-able once the Output has gone live publicly.
8.3 Tier 2 - Service-Plan Artwork (Portfolio)
Where Customer is on a Service Plan under which goodAds.ai designs or creates ad creative for Customer, goodAds.ai may use any artwork it produces for Customer - whether or not that artwork is ultimately selected, approved, or published by Customer - as portfolio, demo, pitch, and body-of-work material. When displaying such artwork, goodAds.ai will frame it as a "concept," "portfolio piece," or "work we've produced," and will not represent that an unused or unpublished artwork was a live campaign for Customer.
8.4 Tier 3 - Self-Serve Public Ads (Attribution)
For Customers on plans that are not Service Plans, once Output has been published publicly by Customer, goodAds.ai may display that publicly-visible artifact with the attribution "designed using goodAds.ai" or substantially similar wording, in addition to the rights in Section 8.2.
8.5 Attribution on Free and Self-Serve Plans
Customers on free or self-serve plans agree that goodAds.ai may require a non-removable "Powered by goodAds.ai" or similar attribution on or near Output, unless Customer is on a paid plan that expressly removes that requirement.
8.6 Customer Reverse Marketing Rights
Customer may publicly identify goodAds.ai as a vendor and describe its use of the Service in Customer's own marketing, provided that the description is accurate and does not imply endorsement by goodAds.ai of Customer's products beyond the fact that Customer uses the Service.
9. Confidentiality
9.1 Confidential Information
"Confidential Information" means non-public information disclosed by one party (the "Disclosing Party") to the other (the "Receiving Party") that is marked or identified as confidential or that a reasonable person would understand to be confidential from the context, including pricing, product roadmaps, unreleased features, Customer Inputs and Output, and account data.
9.2 Obligations
The Receiving Party will:
- use Confidential Information solely to exercise its rights and perform its obligations under these Terms;
- protect it with at least the same degree of care it uses for its own confidential information of like importance and in no event less than reasonable care; and
- not disclose it except to employees, contractors, advisors, and Affiliates who have a need to know and are bound by written or professional obligations of confidentiality at least as protective as this Section 9.
9.3 Exclusions
This Section 9 does not apply to information that:
- is or becomes public without breach of these Terms;
- was known to the Receiving Party without obligation of confidence before receipt;
- is independently developed without use of or reference to the Disclosing Party's Confidential Information; or
- is rightfully obtained from a third party without restriction.
9.4 Compelled Disclosure
The Receiving Party may disclose Confidential Information to the extent required by law or court order, provided that it gives the Disclosing Party prompt written notice (to the extent legally permitted) and reasonable cooperation to seek protective treatment.
9.5 Existing NDA
Where the parties have executed a separate non-disclosure agreement, that agreement continues to govern the Confidential Information within its scope, and these Terms govern only to the extent of any gap.
10. Intellectual Property
10.1 goodAds.ai IP
As between the parties, goodAds.ai owns and retains all right, title, and interest in and to the Service, the AI Models, all software, algorithms, templates, user interfaces, documentation, and any improvements, modifications, or derivative works thereof, and all intellectual-property rights therein. Except for the rights expressly granted in these Terms, no rights are granted to Customer by implication, estoppel, or otherwise.
10.2 Feedback
If Customer provides suggestions, ideas, or feedback about the Service ("Feedback"), Customer grants goodAds.ai a perpetual, irrevocable, royalty-free, worldwide license to use and exploit such Feedback without restriction or compensation.
10.3 Trademarks
"goodAds.ai," the goodAds.ai logo, and related marks are trademarks of goodAds.ai. Customer's name and logo remain its own trademarks. Each party's use of the other's marks is limited to the rights granted in these Terms and must comply with the other party's reasonable brand guidelines.
11. Warranty Disclaimer
EXCEPT AS EXPRESSLY PROVIDED IN THESE TERMS, THE SERVICE AND ALL OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND. goodAds.ai EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. NO INFORMATION OR ADVICE OBTAINED BY CUSTOMER FROM goodAds.ai OR THROUGH THE SERVICE CREATES ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.
12. Indemnification
12.1 goodAds.ai Indemnity (Platform)
goodAds.ai will defend Customer against any third-party claim alleging that the Service (excluding Output and Customer Inputs), as provided by goodAds.ai and used by Customer in accordance with these Terms, infringes a valid U.S. patent, copyright, or trademark, and will pay amounts finally awarded against Customer by a court of competent jurisdiction or included in a settlement approved in writing by goodAds.ai, subject to the limits in Section 13.
12.2 Exclusions from goodAds.ai Indemnity
goodAds.ai has no obligation under Section 12.1 for any claim arising out of or relating to:
- Output, including any claim that Output infringes or misappropriates a third-party right,
- Customer Inputs,
- Customer's combination or use of the Service with any product, service, data, or process not provided by goodAds.ai where the claim would not have arisen but for such combination,
- modifications to the Service not made by goodAds.ai,
- Customer's use of a non-current version of the Service where upgrading would have avoided the claim,
- Customer's breach of these Terms, or
- Customer's failure to review Output under Section 7.5.
This carveout is a material limitation of the platform indemnity; Output-related claims are addressed in Section 12.3.
12.3 Customer Indemnity
Customer will defend, indemnify, and hold harmless goodAds.ai, its Affiliates, and their respective officers, directors, employees, and agents from and against any third-party claim, and all liabilities, damages, losses, costs, and reasonable attorneys' fees arising out of or relating to:
- Customer Inputs,
- Customer's use, publication, distribution, or monetization of any Output (including claims of infringement, defamation, right of publicity, false advertising, unfair competition, or consumer-protection violations),
- Customer's violation of any Ad Platform's terms or policies,
- Customer's violation of applicable law, or
- Customer's breach of these Terms.
12.4 Procedure
The indemnified party will:
- promptly notify the indemnifying party of the claim,
- give the indemnifying party sole control of the defense and settlement (provided that no settlement that imposes a material non-monetary obligation on the indemnified party may be entered into without the indemnified party's consent, not to be unreasonably withheld), and
- reasonably cooperate at the indemnifying party's expense.
12.5 Sole Remedy
This Section 12 states each party's sole liability and exclusive remedy for third-party intellectual-property infringement claims.
13. Limitation of Liability
13.1 Exclusion of Damages
EXCEPT FOR LIABILITY ARISING FROM A PARTY'S INDEMNIFICATION OBLIGATIONS UNDER SECTION 12, CUSTOMER'S PAYMENT OBLIGATIONS, OR EITHER PARTY'S BREACH OF SECTION 9 (CONFIDENTIALITY), IN NO EVENT WILL EITHER PARTY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST BUSINESS, LOSS OF GOODWILL, OR LOSS OF DATA, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
13.2 Cap on Direct Damages
EXCEPT FOR LIABILITY ARISING FROM CUSTOMER'S INDEMNIFICATION OBLIGATIONS UNDER SECTION 12.3, CUSTOMER'S VIOLATION OF SECTION 4.3 (RESTRICTIONS), OR CUSTOMER'S PAYMENT OBLIGATIONS, EACH PARTY'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS WILL NOT EXCEED THE GREATER OF:
- the amounts paid or payable by Customer to goodAds.ai under these Terms in the twelve (12) months preceding the event giving rise to liability; or
- one thousand U.S. Dollars (US$1,000).
13.3 Basis of the Bargain
The limits in this Section 13 apply even if a remedy fails of its essential purpose, and reflect an allocation of risk that is a material basis of the bargain between the parties.
14. Term and Termination
14.1 Term
These Terms begin on the date Customer first accepts them and continue until terminated in accordance with this Section 14.
14.2 Termination for Convenience
Customer may cancel its subscription at any time through the Service's account settings or by written notice to support@goodads.ai. Cancellation takes effect at the end of the then-current billing period; prepaid fees are non-refundable except as expressly provided in these Terms.
14.3 Termination for Cause
Either party may terminate these Terms if the other party materially breaches them and fails to cure the breach within thirty (30) days after receiving written notice of the breach; provided, however, that goodAds.ai may suspend or terminate Customer's access immediately if Customer breaches Sections 4.3, 6.3, 7.3, 7.9, or uses the Service in a way that poses a legal, security, or reputational risk to goodAds.ai.
14.4 Effect of Termination
Upon termination, Customer's right to access the Service ends. Each party will return or destroy Confidential Information in its possession, except that goodAds.ai may retain Customer Inputs and Output to the extent needed for legal, backup, or AI-training purposes consistent with Section 7.2. Sections 6.3, 7, 8, 9, 10, 11, 12, 13, 14.4, and 15 survive termination.
15. Miscellaneous
15.1 Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
15.2 Venue; Jury Waiver
Any action arising out of or relating to these Terms will be brought exclusively in the state or federal courts located in New Castle County, Delaware, and each party consents to the personal jurisdiction of those courts. EACH PARTY WAIVES, TO THE FULLEST EXTENT PERMITTED BY LAW, ANY RIGHT TO A TRIAL BY JURY.
15.3 Equitable Relief
Each party acknowledges that breach of Sections 4.3, 9, or 10 may cause irreparable harm for which monetary damages are inadequate and that the non-breaching party is entitled to seek injunctive or other equitable relief without posting bond and without waiving any other remedy.
15.4 Notices
Notices to goodAds.ai must be sent to legal@goodads.ai with a copy to Not George Technologies Inc., 4792 SW Fairview Blvd, Portland, OR 97221. Notices to Customer may be sent to the email address on Customer's account or the address on the most recent Order.
15.5 Assignment
Neither party may assign these Terms without the other's prior written consent, except that either party may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of its assets. Any attempted assignment in violation of this Section is void.
15.6 Independent Contractors
The parties are independent contractors. These Terms do not create any agency, partnership, joint venture, or employment relationship.
15.7 Force Majeure
Neither party is liable for failure or delay (other than payment obligations) caused by events beyond its reasonable control, including acts of God, war, terrorism, labor disputes, internet or hosting failures, acts of government, pandemic, or failure of third-party AI model providers.
15.8 Third-Party Services
The Service integrates with third-party services (including Ad Platforms and third-party AI model providers). Customer's use of such third-party services is subject to the respective third party's terms, and goodAds.ai is not responsible for the behavior or availability of such services.
15.9 Export and Sanctions
Customer represents that it is not located in, organized under the laws of, or ordinarily resident in a jurisdiction subject to comprehensive U.S. sanctions, and is not a person on any U.S. government restricted-parties list. Customer will not use the Service in violation of U.S. or other applicable export-control or sanctions laws.
15.10 Copyright Claims
If you believe that content accessible on or through the Service infringes your copyright, please send a notice with the information required under the Digital Millennium Copyright Act to copyright@goodads.ai.
15.11 Entire Agreement
These Terms, together with any Order and the Privacy Policy, constitute the entire agreement between the parties regarding the Service and supersede all prior or contemporaneous agreements and understandings. No terms on any Customer purchase order or vendor-onboarding form are binding on goodAds.ai unless expressly accepted in writing by an authorized goodAds.ai representative.
15.12 Severability; Waiver; Counterparts
If any provision is held unenforceable, the remaining provisions remain in effect. A party's failure to enforce a right is not a waiver. These Terms may be accepted electronically, and electronic signatures, click-throughs, and e-signatures have the same legal force as ink signatures.
15.13 Construction
These Terms have been negotiated and drafted mutually by the parties; any rule of construction resolving ambiguity against the drafter does not apply.
15.14 Headings
Section headings are for convenience only and do not affect interpretation.
